Capital structure 

As at 30 June 2008, the issued and outstanding share capital of Kaba Holding AG is CHF 380,377.80, divided into 3,803,778 fully paid registered shares with a par value of CHF 0.10 each. In addition, at 30 June 2008, Kaba Holding AG has at its disposition an authorized capital of CHF 37,720 (divided into 377,200 registered shares with a par value of CHF 0.10 each) and conditional capital of maximum CHF 44,063.20 in connection with convertible bonds, bonds with stock options and warrants (maximum CHF 36,000 divided into 360,000 registered shares with a par value of CHF 0.10 each) and in connection with employee share ownership plans (maximum CHF 8,063.20 divided into 80,632 registered shares with a par value of CHF 0.10 each). 

In financial 2006/2007, Kaba Holding AG has issued neither non-voting shares (Partizipationsscheine) nor bonus certificates (Genussscheine).
